Full Focus Planner Certified Pro Agreement

This Full Focus Planner Certified Pro Agreement for Full Focus Planner Training (the "Agreement") is entered into between Full Focus (operating as Michael Hyatt and Company), a Tennessee limited liability company ("Full Focus") and Full Focus Planner Certified Pro, as further defined below.

This Agreement applies to all Full Focus Planner Certified Pro Applicants (trainees who are in the process of certifying, but have not reached certification) and Full Focus Planner Certified Pros. Hereinafter Full Focus Planner Certified Pro Applicants and Full Focus Planner Certified Pros will be referred to as "Full Focus Planner Certified Pros" or “you” and shall include the individual or organization named above. Unless earlier terminated, this Agreement shall have a term covering one calendar year from the date of certification, after which theFull Focus Planner Certified Pro will automatically renew for a period of one year unless terminated as provided herein. Unless the Full Focus Planner Certified Pro cancels this Agreement by notifying Full Focus at least 7 days prior to the date of renewal, Full Focus will automatically charge the Full Focus Planner Certified Pro the renewal fee for the next year and the Full Focus Planner Certified Pro will be bound to the terms and conditions of the Agreement, year over year, until they do not renew their certification.

Initial Certification is reached when a Full Focus Planner Certified Pro listed above completes the following criteria:
1. Attends an entire Full Focus Planner Pro Certification training event or course conducted by an approved Full Focus Trainer.
2. Takes and passes, with a score of 80% or better, the Full Focus Planner Certification Exam.
3. Achieves good standing as a Full Focus Planner Certified Pro and brand ambassador by adhering to the presentation, conduct, and appearance standards defined in the Full Focus Planner Certified Pro Brand Guide.

The Full Focus Planner Certified Pro is considered a fully "Full Focus Planner Certified Pro" upon completing the above requirements and will be eligible for annual renewal of their certification after one calendar year.


Transferability of certification: The "Full Focus Planner Pro Certification Training" is the training provided by Full Focus and its Trainers, including the words, images, design, video segments, and all intellectual property contained therein as well as the right to train others in the program as specified in this Agreement. The Full Focus Planner Pro Certification Training and all related intellectual property are the sole property of Full Focus. The associated Full Focus Planner Certified Pro Portal is licensed to the individual contracted above for a period of one calendar year beginning on the date that initial certification is reached as determined by Full Focus and communicated to the Full Focus Planner Certified Pro. The Full Focus Planner Certified Pro may continue to use the license during any renewal term. However, once this Agreement is terminated for any reason, the license and all other rights to train or use the program will terminate, and the Full Focus Planner Certified Pro shall have no further right or license to use the Full Focus Planner Pro Certification Training in any manner. Full Focus solely retains the ability to certify Full Focus Planner Certified Pros. As such, Full Focus Planner Certified Pros are not eligible to certify or transfer certification to other persons or parties.


Use of License:
1. Training Group Size Limitations: Full Focus Planner Certified Pros may train within their communities and organizations for groups of individuals numbering twenty (20) or less. Any groups over twenty (20) individuals must be approved in writing by Full Focus, prior to training. Full Focus Planner Certified Pros can submit their request at fullfocusplanner.com/support and click on, "Support for our NEW Full Focus Planner Certification Training," to submit a Training Plan for approval.

2. Training Materials: Each Full Focus Planner Certified Pro will retain access to the Full Focus Planner Certified Pro Portal, including the following:
A Full Focus Planner Certification Leader’s Manual
Full Focus Planner Certification Presentation Materials
Full Focus Planner Certified Pro Resources

Note: Full Focus Planner Certified Pros are not permitted to train clients on any other Full Focus products, methodologies, or systems that fall outside of the scope of their training, as it specifically relates to the Full Focus Planner.

3. Course Materials: Each individual attending a Full Focus Planner Training session of three or more individuals, of any length, using the Full Focus Planner content must possess and use an original, purchased copy of the Full Focus Planner Training participant materials, including the following:

Note: Unauthorized use of planner materials (physical or electronic) not authorized by Full Focus is strictly prohibited. A training session consists of any presentation or course provided by a Full Focus Planner Certified Pro designed to teach the content of the Full Focus Planner, regardless of length, that is not a marketing presentation. Full Focus Planner Guide, core essentials worksheets, or resources may not be copied, duplicated, or re-used in any way.

4. Marketing and Promotional Materials: Full Focus eagerly supports the efforts of Full Focus Planner Certified Pros in marketing their training and coaching events, and has included presentation materials and resources to assist in these efforts, as a part of the Full Focus Planner Certified Pro Portal. Brief, informal conversation may be conducted as a part of gauging initial interest in training opportunities. However, Full Focus requires the use of official Full Focus Planner Pro Certification presentation materials for marketing presentations and purposes. Full Focus has developed a marketing presentation slide deck and other helpful information to guide your marketing efforts. Marketing presentations are separate from training sessions; therefore, core content featured in the training should not be divulged as part of a marketing presentation. A marketing presentation should not exceed one hour in length.
Full Focus Planner Certified Pros may develop materials for promotional use, using graphics and resources provided by Full Focus, describing the Full Focus Planner. Full Focus Planner Certified Pros may not develop or distribute any such materials that compete with, or are derived from, a Full Focus product. All materials developed for promotional use by a Full Focus Planner Certified Pro must adhere to the Full Focus Brand Guide.

5. Unauthorized Use: Any use of Full Focus Planner Training or any related use of proprietary materials, images, or information outside of the parameters and requirements set forth in this Agreement will be deemed a material breach of this Agreement and is in violation of copyright law and may be litigated. Full Focus Planner Certified Pros may not record, reproduce, or distribute for sale any part of certification training.

6. Modifications: Any modifications to the training materials or training content by the Full Focus Planner Certified Pro must be approved in writing by the Full Focus Team. Any such modifications will be the sole and exclusive property of Full Focus. Full Focus Certified Pros may not alter supplied resources without written approval. This includes altering marketing materials, slide decks, or other resources distributed to Full Focus Certified Pros.

Adherence to the Brand Guide: Full Focus Planner Certified Pros are responsible to adhere to the presentation, conduct, and appearance standards defined in the Full Focus Planner Certified Pro Brand Guide. A violation of these standards will result in permanent revocation of the certification, without refund. Any reference to Full Focus Planner Training by a Full Focus Planner Certified Pro is governed by the Full Focus Planner Certified Pro Brand Guide.

Revocation: Failure to comply, at any time, with the terms outlined in this Agreement (as determined by Full Focus, at its sole discretion) may result in the immediate revocation of the Full Focus Planner Certified Pro’s certification and termination of this Agreement. Use of training content or materials after revocation of certification is strictly prohibited and may be litigated or subject to any other remedies available to Full Focus. In its sole discretion, Full Focus reserves the right to revoke a Full Focus Planner Certified Pro’s certification at any time for any reason. Full Focus Planner Certified Pros will be informed of the revocation officially, including the effective date, via email. At any point in time, if a Full Focus Planner Certified Pro is convicted of a crime above a misdemeanor, the Full Focus Planner Certified Pro must promptly inform Full Focus in writing of the conviction, at which point Full Focus may immediately revoke certification and terminate this Agreement.

Recertification: Full Focus Planner Certified Pros are required to recertify on an annual basis for one calendar year from the date of certification, which shall be confirmed to a Full Focus Planner Certified Pro via email from Full Focus. Recertification requirements will be defined by Full Focus and may include, without limitation, passing of the certification test that aligns with initial certification requirements. Full Focus reserves the right to add additional coursework to recertification, at any time, but especially if new content is developed that impacts the delivery of services or dramatically alters training content, to include written content, methodology, images, graphics, and branding. Recertification is solely the responsibility of the Full Focus Planner Certified Pro. Should a Full Focus Planner Certified Pro be found to have delivered training after their certification has expired, they are deemed to be in breach of this Agreement and may face litigation or any other remedies available to Full Focus.

Confidentiality: By signing this Agreement the Full Focus Planner Certified Pro agrees to maintain confidentiality regarding items below, unless they become generally known to the public through no fault of the Full Focus Planner Certified Pro. Confidential information may be shared with Full Focus Planner

Certified Pros, to enable their success under the terms outlined in this Agreement. Information learned from Full Focus, including all documents or materials obtained during the course of certification, are to be kept strictly confidential. This includes:

(a) Items identified by Full Focus as confidential;
(b) the identity of other Full Focus customers;
(c) Items related to the cost, pricing, or commission structures;
(d) Items related to Full Focus products including new product information that is not yet publicly launched, including new products or materials;
(e) Sources of supply, inventory levels, or product availability;
(f) Full Focus marketing or selling techniques that are not publicly apparent or visible;
(g) Any other information, documents, or materials that a Full Focus Planner Certified Pro should reasonably expect are to remain confidential, even if not marked as such by Full Focus.

Liability: Full Focus is not liable to the Full Focus Planner Certified Pro, or client of a Full Focus Planner Certified Pro, for any loss or damage of any kind related to or arising from the delivery or usage of the Full Focus Planner Pro Certification Training program or any other goods, services, or training provided hereunder; the Full Focus Planner Certified Pro is solely responsible for any loss or damages as a result of its provision of training to its clients and any other use of the training program. The Full Focus Planner Certified Pro shall indemnify, defend, and hold harmless Full Focus and its employees and agents from and against any and all losses, liabilities, claims, suits, demands, and judgments, to which Full Focus may be subject, in whole or in part, based on the Full Focus Planner Certified Pro’s use of Full Focus goods or services or any breach of its obligations under this Agreement.

Fees and Billing:

1. Initial Certification: The Full Focus Planner Certified Pro authorizes Full Focus to charge the Certified Pro’s credit card for the full amount of initial certification and any renewal or recertification fees, as defined by Full Focus. By signing this Agreement, the Full Focus Planner Certified Pro acknowledges that they are aware their card will be charged in full for the initial certification fee and the recurring annual recertification fee. This includes applicable fees, taxes, and material costs associated with certification.

2. Recertification: The certification of a Full Focus Planner Certified Pro will be automatically renewed the day that their annual certification expires. The Full Focus Planner Certified Pro authorizes Full Focus to charge the Full Focus Planner Certified Pro’s credit card for the full certification renewal amount. By signing this Agreement the Full Focus Planner Certified Pro acknowledges and authorizes automatic payments of the renewal amount to its credit card, unless expressly communicated in writing to Full Focus. A Full Focus Planner Certified Pro is responsible for updating their payment information in order to facilitate timely payments.

3. Timely Payment: Should a payment fail, Full Focus will issue an invoice to the Full Focus Planner Certified Pro to be paid within (15) calendar days. Certification or recertification will be paused until payment is received in full, during which time the Full Focus Planner Certified Pro is barred from delivering training. Should a payment not be received within (15) calendar days, the certification, and all access to materials via the Portal will be revoked until payment is received in full. Full Focus reserves the right to terminate certification status due to untimely payment.

4. Refunds: Customer satisfaction is important to Full Focus. As such, we offer refunds for initial certification, if a Full Focus Planner Certified Pro does not gain initial certification, or the Certified Pro does not find value in the certification training.
For LIVE EVENT PURCHASERS: Requests for a refund must be received, in writing, within 72 hours of the initial certification training. For ON-DEMAND PURCHASERS: Requests for a refund must be received, in writing, within 30 days of purchase. *If you purchase before December 12th, you will have 30 days from December 12th to request a refund.

Full Focus Planner Certified Pros are prohibited from retaining or using any Full Focus Planner Pro Certification materials or information for competing business opportunities or after requesting a refund. Certification status will be revoked in the case of a refund.

5. Affiliate Payments: Full Focus Planner Certified Pros receive access to an exclusive affiliate program. As such, Full Focus agrees to pay Full Focus Planner Certified Pro a 10% affiliate commission on sales of Full Focus products, training materials, or certifications generated by a Full Focus Planner Certified Pro’s participation in the affiliate program. Full Focus Planner Certified Pros will only be eligible for a commission payment for a transaction directly resulting from their affiliate link or through the use of their affiliate code, once they have reached $100 in earned commissions. In order to accept payment a Full Focus Planner Certified Pro must have agreed to the terms of this agreement, completed a Full Focus Planner Certified Pro Profile, including required payment information, have a valid and up to date payment method, and have completed all required tax documentation. Affiliate payments will be processed on a monthly basis and are guaranteed within (45) business days of transaction. All amounts payable to affiliates are subject to offset by amounts owed to Full Focus. Full Focus will determine the method of payment, including the currency, and active conversion rate for all affiliate payments. Should a Full Focus Planner Certified Pro dispute an affiliate payment, they are required to notify Full Focus within (7) business days of receipt. Full Focus retains the right to revoke affiliate status at any time.


Warranties, Guarantees, and Indemnity:

The Parties acknowledge and agree that Full Focus and the Full Focus Planner Certified Pro are independent contractors and that the relationship arising from this Agreement does not constitute or create a general agency, joint venture, partnership, employment relationship or franchise between the Parties. In all dealings with third parties, neither Party shall identify or represent itself to be the other, or the other's agent. Once achieving certification, the Full Focus Planner Certified Pro is not obligated to provide the Full Focus Planner Pro Certification Training. The license and other rights granted herein to a Full Focus Planner Certified Pro are revocable, non-transferable (except as specified herein), limited, conditional, and non-exclusive and do not constitute a business opportunity, seller assisted marketing plan, or other such arrangement under any federal or state laws.

Full Focus Planner Certified Pro hereby represents and warrants that: (i) it has the full authority to enter into and fully perform its obligations under this Agreement; (ii) the execution, delivery and performance of this Agreement by Full Focus Planner Certified Pro does not conflict with or breach any separate agreement to which it is a party and/or by which it is bound; and (iii) Full Focus Planner Certified Pro shall comply with all applicable laws and regulations applicable to its activities in furtherance of this Agreement including, without limitation, the Federal Trade Commission Act, Federal Trade Commission guidelines concerning the use of endorsements and testimonials, the CAN-SPAM Act, the Telemarketing Sales Rule, the Telephone Consumer Protection Act, the Restore Online Shoppers’ Confidence Act, and any other federal or state consumer protection laws.

Full Focus makes no representations or warranties of any kind, express or implied, as to the content or operation of our services. A Full Focus Full Focus Planner Certified Pro agrees that the use of Full Focus services, content, and information included on the Full Focus portal is at their sole risk.

Full Focus makes no guarantees, express or implied, regarding the certainty, veracity, or completeness of the content. Full Focus does not guarantee results of any kind, financial or otherwise, as a result of the services outlined in this Agreement. Full Focus Certification is not designed as a new business opportunity, instead being an opportunity to acquire additional training or professional development, and as such Full Focus Planner Certified Pros acknowledge that they solely take on the financial risk and liability in use of their certification as a part of their existing business endeavors.

Full Focus makes no guarantee that the content available through the portal is free of infection from any viruses or other code or computer programming routines that contain contaminating or destructive properties or that are intended to damage, intercept, or extrapolate any data, or personal information. Access and use of the Full Focus portal may be interrupted from time to time for including malfunction, maintenance or repair of the site, updating content, or other actions.

The terms of this Agreement may be amended by Full Focus at any time with notification to Full Focus Planner Certified Pro. If the Full Focus Planner Certified Pro disagrees with any such amendment, its only remedy will be to notify Full Focus on non-renewal. In the event that any of the terms or conditions of this Agreement shall be held invalid as violating federal or state law, such terms and conditions shall be deemed deleted, but such deletion shall not affect the validity of the balance of this Agreement. This Agreement shall be governed by the laws of the state of Tennessee.

By signing, the Full Focus Planner Certified Pro acknowledges carefully reading all of the terms of the Agreement, having understood and agreed to fully and faithfully comply with all aforementioned terms and conditions.
